1.1 These Terms of Service (“Terms”) govern the use of the AI motion-recognition dance coaching and choreography metadata IP creation and distribution services (the “Service”) provided by Kalavinka Entertainment Inc. ("Audition-ME X," "Company," "we," or "us") .By accessing or using the Service, you (“User,” “you”) agree to these Terms, our Privacy Policy, and all applicable laws. If you do not agree, you must not use the Service.
2.1 Users must be at least 13 years old (or the minimum legal age in your country) to use the Service.
2.2 Users under 18 (or the age of majority in your jurisdiction) must have a parent or legal guardian’s consent.
"Content" means any videos, images, text, choreography data, or other materials uploaded, created, or shared by Users.
"Choreography Metadata (IP)" means digitized choreography data generated by the Service or by Users through the Service.
"User Account" refers to the registered profile through which a User accesses the Service.
5.1 You must register and provide accurate information.
5.2 You are responsible for maintaining the confidentiality of your credentials.
5.3 If you suspect unauthorized access, notify us immediately at [manage@audition-me.com].
6.1 Users may access AI-powered dance coaching, choreography data generation, distribution, and related features.
6.2 We may modify, suspend, or discontinue parts of the Service for maintenance, updates, or legal compliance.
6.3 Users are granted a limited, revocable, non-transferable license to use the Service for personal, non-commercial purposes unless otherwise agreed in writing.
7.1 User Content:
(a) You retain ownership of all Content you upload or create.
(b) By uploading Content, you grant the Company a worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, adapt, distribute, and publicly display the Content for: (a) operating the Service; (b) promotional and educational purposes; and (c) AI training and improvement.
7.2 Choreography Metadata (IP):
(a) Metadata generated by the Company’s proprietary AI belongs exclusively to the Company.
(b) Metadata jointly created by the User and the Service is deemed joint intellectual property, and the Company is granted an exclusive worldwide commercial license to use, sublicense, and monetize such Metadata.
7.3 Users may request deletion of their Content; however, anonymized data and jointly-owned Metadata may be retained for legal or operational reasons.
Users must not:
• Violate laws or third-party rights (e.g., copyright, trademark, publicity rights).
• Upload unlawful, abusive, defamatory, obscene, or discriminatory Content.
• Interfere with security features or reverse-engineer the Service.
• Collect personal data from other Users without consent.
If the Service includes paid features or revenue-sharing (e.g., distribution of choreography IP):
• Users must comply with the Payment Policy (separate agreement).
• Payouts are subject to tax withholding and anti-money laundering regulations.
10.1 We collect and process personal data in accordance with GDPR (EU), CCPA (California, USA), and other applicable data protection laws.
10.2 Users in the EU/UK may exercise rights of access, rectification, deletion, portability, and objection by contacting privacy@audition-me.com.
10.3 Users in California have the right to opt out of the “sale” or “sharing” of personal data.

We may suspend or terminate accounts without notice for:
• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees (if applicable)
Users may terminate their account at any time; residual data may be retained as required by law.
• The Service is provided “as is” without warranties of merchantability, fitness, or non-infringement.
• To the maximum extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages arising from your use of the Service.
• We do not guarantee that AI outputs (e.g., choreography recommendations) are error-free or legally clear of third-party rights.
13.1 For Users in the U.S., these Terms are governed by the laws of Delaware (or your principal state if applicable).
13.2 For Users in the EU/UK, mandatory consumer protection laws of your country apply.
13.3 Any disputes will be resolved through binding arbitration (for U.S. Users) or through competent courts in your jurisdiction (for EU/UK Users).
